- “App” refers to the VTConnect Care App.
- “Content” means all text, forms, documents, images, and other materials that are available or become available on the Sites.
- “Logon Credentials” means the user ID and password you created when you registered on the Sites, established your own credentials, or had credentials established on your behalf.
- “Organization” means the entity subscribing to the VTC service.
- “Practitioner” means the professional with whom you receive services through VTC.
- “Services” means the services provided by the Practitioners through the Sites or the App.
- “Office Portal” means the online VTC administrative website portal accessed either through www.portal.vtconnect.net or the URL a Practitioner or Organization provides to you.
APPLICABILITY OF TERMS
NATURE OF SERVICES
You will have the opportunity to receive Services from a Practitioner that is authorized to deliver the Services through use of the App. In order to connect with your Practitioner for Services using the App, you must establish an Office Portal user account by either registering online or by responding to an email invitation to create an account, you must establish your Logon Credentials, you must register with and be approved by the Practitioner or Organization, and you must install the appropriate App for your device. Please note the Minimum System Requirements for the hardware required to use the App and receive the Services prior to registration.
Prior to receiving the Services, you will need to complete the registration process. The information collected includes, but is not limited to your name, date of birth, address, email address, and telephone. Staff from your Organization for the Services may complete most of this process on your behalf. If so, you will receive an email requesting you to establish your logon credentials.
Staff from your Organization may send you a link to a URL for you to complete the registration process yourself, including the establishment of your logon credentials. If this is the case, your Organization must approve your account before full access is granted.
In the event that you access the Services through more than one Organization, you will need to complete the registration process for each Organization, but your VTC logon credentials will remain the same.

PAYMENT FOR THE SERVICES
Payment for the Services is handled solely by the Practitioners or Organizations. VTC does not play any role in your payment for the Services. VTC ASSUMES NO RESPONSIBILITY FOR YOUR USE OF ANY PAYMENT PROCESSING SYSTEM PROVIDED BY PRACTIONERS OR ORGANIZATIONS. WHEN YOU SUBMIT YOUR CREDIT CARD INFORMATION FOR PAYMENT OF THE SERVICES, YOU DO SO UNDER THE TERMS AND CONDITIONS THEY SPECIFY. WE DO NOT GUARANTEE THE SECURITY OF YOUR INFORMATION WHEN PROCESSED BY PRACTITIONERS OR THEIR THIRD-PARTY PROVIDER.
As a part of the Services, when logged into the Office Portal, you can send and receive encrypted private messages with any Practitioners and Organizations your account is associated with. In addition, you may send secure initial inquiries to Practitioners or Organizations you wish to connect with. By default, when any new private messages are received, you will receive an email notification advising you to login to the Office Portal to view and respond. You can disable this email notification when logged into the Office Portal.
ACCESSING PRACTITIONER/ORGANIZATION UPLOADED CONTENT
As part of the Services, Practitioners and Organizations may upload Content that you may access when logged into the Office Portal. Some Content will be made available for Download Only. Some Content may be set to Client Upload, which means you may download, print, fill out and/or sign, and upload the completed Content back to the Office Portal where it will be stored as part of your client record. Some Content may be set to E-Signature Required, which means you are required to digitally sign to accept the Content, and your access to the Sites and App may be restricted until the digital signature is obtained. You and the Practitioners and Organization that provided any Content you upload back to your Office Portal or digitally signed will have access to a summary report with links to view the Content and details of the submission.
ACCESS TO THE SITE
VTC grants you a non-exclusive, non-transferable, limited right to access, use and display the Sites and the Content for your own personal, non-commercial use. You agree not to interrupt, or attempt to interrupt, the operation of the Sites in any way. VTC reserves the right to restrict your access to part or all of the Sites (including any areas you access using your Logon Credentials) or the App at any time without notice or liability.
You understand that services delivered online are technical in nature and that problems may occur with internet connectivity. Internet availability may be limited or disrupted by things such as server maintenance, upgrades, or other problems (such as software or hardware malfunction). Any problems with internet availability or connectivity are outside the control of the VTC and VTC makes no guarantee that such Services will be available.
Additionally, although VTC has taken reasonable steps to ensure the confidentiality and privacy of the Sites and the App, VTC cannot guarantee the security of any internet transmissions or communications. YOU AGREE TO TAKE FULL RESPONSIBILITY FOR THE SECURITY OF ANY COMMUNICATIONS OR TREATMENT ON YOUR OWN ELECTRONIC DEVICES AND IN YOUR OWN PHYSICAL LOCATION. You agree to release and indemnify VTC from all suits, claims, and other actions originating from your use of the Sites.
The Sites may contain links and pointers to other sites on the Internet that may be maintained by third parties. These websites are not controlled by VTC and do not constitute an endorsement by us.
Practitioners or their Organizations have a relationship with us under which they are allowed to use the Sites and App to provide Services to you. PLEASE NOTE THAT THE PRACTITIONERS ARE NOT EMPLOYEES OR AGENTS OF VTC. ALL SERVICES RENDERED BY PRACTITIONERS ARE THROUGH THIRD-PARTIES, OR THEIR RESPECTIVE ORGANIZATIONS (IF ANY) NOT VTC. VTC ASSUMES NO RESPONSIBILITY FOR THE ACTIONS ADVICE OR COUNSELING OF THE PRACTITIONERS, OR ANY INFORMATION THEY PROVIDE THROUGH VTC SITES OR THEIR PROVISION OF SERVICES PROVIDED HEREUNDER. VTC MAKES NO WARRANTIES WITH RESPECT TO THE PRACTITIONERS AND SHALL NOT BE LIABLE FOR THE ACTIONS OF THE PRACTITIONERS UNDER ANY CIRCUMSTANCES. UNDER NO CIRCUMSTANCES SHALL VTC BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT ARE DIRECTLY OR INDIRECTLY RELATED TO THE ACTIONS OF THE PRACTITIONERS, INCLUDING BUT NOT LIMITED TO THE PROVISION OF SERVICES THROUGH THE SITES.
As part of the Services, Practitioners and Organizations may choose to add Practitioner Profiles to public practitioner directories hosted on our Sites and viewable by any site visitors. Practitioners that are listed in the therapist directory located at www.virtualtherapyconnect.com are required to first complete a license verification and pass a background check through a third-party background screening company, InfoCubic, before being listed in that directory. VTC MAKES NO WARRANTIES WITH RESPECT TO THE ACCURACY OF THE CONTENT INCLUDED IN PRACTITIONER PROFILES DISPLAYED IN THE DIRECTORIES ON OUR SITES.
PROPRIETARY RIGHTS AND THIRD-PARTY CONTENT
The Sites, the App, and the Content (excluding Third-Party Content as defined below) (“Copyrighted Material”), are all the copyrights of VTC. You hereby acknowledge the confidentiality of the Copyrighted Material and agree to maintain its confidentiality. You agree not to use any Copyrighted Material without the prior written permission of VTC.
All trademarks and service marks used on the Sites are marks of VTC or authorized third parties. You agree not to use any marks contained on this Sites without the prior written permission of VTC.
You understand and acknowledge that the Sites and the Content may include data, statistics, articles, blogs, and other information supplied by third parties ("Third-Party Content”). Third-Party Content is the intellectual property of those third-parties. We use Third-Party Content under license.

We may investigate your complaint; however, we are under no obligation to inform you of our findings or to respond back to you regarding your concern.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SITES (INCLUDING ALL CONTENT, THIRD PARTY CONTENT, AND INFORMATION MADE AVAILABLE THEREON OR ACCESSED BY MEANS THEREOF) AND THE APP ARE PROVIDED AS IS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES REGARDING THE ACCURACY OR SUITABILITY OF CONTENT OR THIRD PARTY CONTENT, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, COMPATIBILITY, SECURITY, ACCURACY, OR NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, VTC MAKES NO WARRANTIES AND SHALL NOT BE LIABLE FOR THE USE OF THE SITES OR APP UNDER ANY CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO NEGLIGENCE BY VTC. VTC DOES NOT WARRANT THAT THE FUNCTIONING OF THE SITES OR APP WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITES, APP, OR CONTENT WILL MEET ANY PARTICULAR CRITERIA OF PERFORMANCE OR QUALITY.
LIMITATION OF LIABILITY
UNDER NO CIRCUMSTANCES SHALL VTC, ORGANIZATION, OR ANY PRACTITIONER BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES THAT ARE DIRECTLY OR INDIRECTLY RELATED TO THE USE OF, OR THE INABILITY TO USE, THE SITES, THE APP, OR THE CONTENT.
This Agreement shall be governed by and construed in accordance with the laws of the State of Virginia, without giving effect to any principles of conflicts of law.
In the event you breach or threaten breach of this Agreement, you acknowledge and agree that we will be greatly and irreparably damaged and the damage will be difficult to quantify. You agree that in addition to any and all other remedies available VTC will be entitled to obtain relief by way of a temporary or permanent injunction to enforce the obligations set forth in this Agreement.
If any provision of this Agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof, and supersedes all previous written or oral agreements between the parties with respect to such subject matter.
MODIFICATIONS TO THE SITE
VTC reserves the right at any time to modify, suspend or discontinue any aspect or feature of the Sites or the App including, but not limited to, Content, hours of availability and equipment and/or software required for access or use of this Sites. We may also change the terms and conditions set forth in this Agreement, and any subsequent use of the Services by you constitutes your agreement to such changed terms and conditions. We will use reasonable efforts to send you an e-mail in the event that any material changes have been made to these terms and conditions. The email will contain a link that you can click to review the revised terms and conditions.
We are not responsible for delays or any failure in performance resulting from acts beyond the control of VTC. Such acts include, but are not limited to, acts of God, strikes, acts of war, epidemics, governmental regulations superimposed after the fact, fire, communication line failures, power failures, earthquakes, or other disasters.
YOUR QUESTIONS AND COMMENTS
You acknowledge and agree that in the event you download any VTC software programs or applications ("Software"), from the Websites, the Apple App Store, the Mac App Store, or the Google Play Store that your use of the Software and all modifications and derivative works thereof will be governed by a separate end user license agreement as well as any applicable third party terms for App Stores or Google Play Store. In the event of a conflict between the terms of this Agreement and any applicable end user license agreement with VTC, the terms of the end user license agreement will govern and control.
